TERMS AND CONDITIONS OF USE – WTG PUBLISHING, LLC

This Terms and Conditions of Use Agreement (hereafter the “Agreement”) is a legally binding

agreement between WTG Publishing, LLC, a Utah limited liability company doing business as SUY

Sports.com and Southern Utah Youth Sports (hereafter “WTG”) and you (hereafter “User”) of all

interactive services which are owned, operated or provided by WTG. The following Terms and

Conditions of Use (hereafter the “Terms”) govern User’s use of the WTG website (hereafter “Website”)

or services provided by WTG on or through the same (hereafter the “Services”).

TERMS AND CONDITIONS OF USE

Modification of Agreement. The Terms and this Agreement may be changed,

altered, modified, deleted, amended or added to at anytime and without notice by WTG. The effective

date of any modification or change to the Terms or this Agreement will be the day in which said changes

are posted to the Website. By continuing to the use the Website and benefit from the Services provided

by WTG, User accepts the terms and provisions of any modification or alternation of the Terms or the

Agreement.

Warranties and Representations of User. User expressly warrants and represents

to WTG the following:

Eligibility. User acknowledges that the use of the Website and

Services is limited to individuals over the age of eighteen (18) and further expressly warrants and

represents to WTG that he or she is over the age of eighteen (18), is accompanied by his or her parent

or legal guardian when accessing the Website and using the Services with consent of the same or an

emancipated minor and has the capacity to enter into and form binding contracts under applicable

federal, state and local law.

Prohibited Uses. User expressly warrants that it will use the

Website and the Services only for lawful purposes and in a lawful manner. User acknowledges and

agrees not to submit, post, transmit or otherwise any of the following on the Website or through the

Services: any unlawful, harmful, threatening, abusive, harassing, defamatory, derogatory, vulgar,

obscene, sexually explicit, pornographic, profane, hateful, racial, ethnic, or otherwise objectionable

material of any kind, including but not limited to any material that is or that encourages fraudulent

activity or encourages conduct that would constitute a criminal offense, give rise to civil liability, or

otherwise violate any applicable federal, state and local law.

Compliance with Laws. User expressly agrees to comply with all

applicable laws, statutes and regulations regarding use of the Website and the Services.

No Confidentiality. User understands that WGT does not guarantee

any confidentiality with respect to any User Submissions as defined in Section 3 below.

Submission by User. User acknowledges the ability to submit or transmit audio,

pictures, video, text, articles or other materials (collectively, “User Submissions”) to the Website or

through the Services. User acknowledges that by submitting any User Submissions to the Website,

User relinquishes all control over the User Submissions and grants to WTG its subsidiaries, affiliates,

and partners an exclusive, worldwide, royalty-free, fully sublicenseable license to use, distribute,

edit, display, archive, publish, sublicense, perform, reproduce, make available, transmit, broadcast,

reproduce, reprint, sell, translate, and create derivative works of said User Submissions, and User’s

name, voice, likeness and other identifying information where part of a User Submission, in any form,

media, software, or technology of any kind now known or developed in the future, including, without

limitation, for developing, manufacturing, and marketing products. User affirms, represents, and

warrants that it owns or has the necessary licenses, rights, consents, and permissions to publish the

User Submissions; and User licenses to WGT all patent, trademark, trade secret, copyright or other

proprietary rights in and to the User Submissions for publication on the Website pursuant to the Terms

and this Agreement.

Removal of User Submissions. WTG may refuse or remove a User Submission

without notice and in its absolute discretion. Further, WTG has no obligation to monitor User

Submissions, and User expressly agrees that neither WTG or its subsidiaries, affiliates, employees, or

agents will be liable for User Submissions or any loss or damage resulting from User Submissions.

No Third-Party Rights. User warrants and represents that the User Submissions

will not contain third party copyrighted material, or material that is subject to other third party

proprietary rights, unless User has permission from the rightful owner of the material or User is

otherwise legally entitled to post the material and to grant WGT all of the license rights granted herein.

Non-Endorsement. WGT does not endorse any User Submissions submitted to

the Website by any user or other licensor, or any opinion, recommendation, or advice expressed therein,

and WGT expressly disclaims any and all liability in connection with the User Submissions. WGT does

not permit copyright infringing activities and infringement of intellectual property rights on the Website

or through its Services and WGT will remove all User Submissions if properly notified that the same

infringes on another’s intellectual property rights.

Registration and Access Controls. User is responsible for maintaining the

confidentiality of its login names and passwords associated with the Website. User further acknowledges

that it accepts responsibility for all activities, charges, and damages that occur under User’s Account.

If User has reason to believe that someone is using User’s account without User’s permission, User

should contact WGT immediately. WGT shall not be responsible for any loss or damage resulting from

User’s failure to notify WGT of unauthorized use.

Third-Party Content. WTG reserves the right and may occasionally provide

third party content or link to third party websites on the Website or through the Services. WTG does

not endorse or evaluate third party content and websites, and does not assume responsibility for third

parties’ actions or omissions. User expressly acknowledges that it should review third parties’ terms of

use and privacy policies before utilizing the same.

Right to Monitor; Control Content on the Website; Right to Disclose. WGT

reserves the right and authority to terminate and remove any User Submissions or restrict User’s use

of and access to the Website and the Services or take any other action for the following: in case of

technical problems, for objectionable, offensive, obscene, pornographic or violent User Submissions,

inaccurate content, for User’s breach of the Terms or this Agreement or for any other reason in the

sole and absolute discretion of WGT. In addition, WGT reserves the right to disclose any content,

submission, information, User Submissions or electronic communication of any kind to (a) to satisfy any

law, regulation, or government request; (b) if such disclosure is necessary or appropriate to operate the

Website; or (c) to protect the rights or property of WGT or User.

THAT THE WEBSITE AND SERVICES AND ANY OF THE

WEBSITE OR SERVICES’ FUNCTIONS OR ANY CONTENT OR SOFTWARE CONTAINED

THEREIN WILL BE UNINTERRUPTED OR ERROR-FREE;

Disclaimers. WGT MAKES THE FOLLOWING DISCLAIMERS:

THAT DEFECTS WILL BE CORRECTED;

THAT THE WEBSITE OR THE SERVICES OR THE SERVERS

HOSTING THEM ARE FREE OF VIRUSES OR OTHER HARMFUL CODE; OR

THAT THE WEBSITE AND SERVICES OR INFORMATION

AVAILABLE THROUGH THE SAME WILL CONTINUE TO BE AVAILABLE.

INCLUDING,

WITHOUT

LIMITATION,

NONINFRINGEMENT,

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE; AND

THAT THE WEBSITE AND SERVICES, INCLUDING,

WITHOUT LIMITATION, ALL CONTENT, SOFTWARE, AND FUNCTIONS MADE

AVAILABLE ON OR ACCESSED THROUGH OR SENT FROM THE SAME, ARE

PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

Limitation of Liability. WGT WILL NOT BE LIABLE TO USER OR ANYONE

ELSE FOR ANY LOSS OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION,

FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, ECONOMIC,

PUNITIVE, OR CONSEQUENTIAL DAMAGES) IN CONNECTION WITH THE WEBSITE,

SERVICES OR USER’S USER SUBMISSIONS, EVEN IF FORESEEABLE OR EVEN IF WGT

HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES (INCLUDING, WITHOUT

LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, GROSS

NEGLIGENCE, OR OTHERWISE, BUT EXCLUDING WILLFUL MISCONDUCT) UNLESS

SPECIFIED IN WRITING.

User’s Risk; Sole Remedy. User acknowledges that access to and use of the

Website and Services is at User’s own risk. If User is dissatisfied with the Website or Services or any

of the content, User’s sole and exclusive remedy is to discontinue accessing and using the Website and

Services.

Limitations on Damages; Waiver of Claims. User acknowledges and agrees

that if User incurs any damages that arise out of WGT’s acts or omissions, the damages, if any, are

not irreparable and are not sufficient to entitle User to an injunction or other equitable relief restricting

exploitation of any website, property, product, program, show, picture, or other audio/visual content

owned or controlled by WGT, including without limitation the Website and the Services (including

those incorporating User Submissions). User acknowledges that it may be waiving rights with respect to

claims that are unknown or are unsuspected. Hold Harmless; Release of Liability. To the fullest extent allowed by law, User

agrees to release and indemnify WTG and hold WTG harmless, including WTG’s employees, agents,

members, managers and representatives from all actions or claims, for any loss, claims, injury, damages

of any kind, or costs resulting from use and participation of the Website and Services. The foregoing

release and consent to hold harmless shall also be binding as to any other persons, including all family

members, heirs/executors, or administrators, agents or guardians of the User. User understand this is a

binding contract that supersedes any other agreements or representations whether written or oral, and is

intended to provide a comprehensive release of liability, but is not intended to assert any defenses which

are prohibited by federal or state law.

Disclosure of Information. As permitted by applicable law, WGT reserves the

right to report any activity that it suspects violates any law or regulation to appropriate law enforcement

officials, regulators, or other third parties. In order to cooperate with information requests, to protect

WTG’s systems and customers, to allow users to resolve disputes, or to ensure the integrity and

operation of WGT business and systems or other purposes deemed reasonable by WGT, WGT may

access and disclose any information it considers necessary or appropriate, including, without limitation,

User contact details, IP addressing and traffic information, usage history and User Submissions.

Arbitration. User agrees that any controversy or claim arising out of or relating

to this Agreement shall be settled by binding arbitration in accordance with the commercial arbitration

rules of the American Arbitration Association. Moreover, any such controversy or claim shall be

arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or

controversy of any other party. The arbitration shall be conducted in Washington County, Utah, and

judgment on the arbitration award may be entered into any court having jurisdiction thereof. The

parties may seek may seek any interim or preliminary relief from a court of competent jurisdiction in

Washington, County Utah, if necessary to protect the parties’ rights or property pending the completion

of arbitration. User irrevocably and unconditionally consents and submits to the exclusive jurisdiction of

such courts over any suit, action or proceeding arising out of the Terms and this Agreement.

17.

Governing Law. This Agreement will be governed exclusively by

the laws of the state of Utah, and any lawsuit resulting from a dispute related hereto shall be brought

only in a court of competent jurisdiction in Washington County, State of Utah.

Severability. If any provision of this Agreement shall be deemed

unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from

these terms and conditions and shall not affect the validity and enforceability of any remaining

provisions.
